Terms of Service

Welcome to Scoprix. Scoprix is operated by Scoprix Labs LLC ("Scoprix", "we", "us"). By creating an account you agree to these terms. 1. The service. Scoprix is software for construction estimating and project cost management: document extraction, takeoffs, estimates, quote organization, RFI generation, and cost projection. It is an early-stage commercial product under active development — features may change, and outside of an Enterprise agreement we do not promise an uptime SLA. Keep your own copies of anything load-bearing to a live bid. 2. AI-generated output; no professional reliance. Parts of Scoprix generate content with machine learning and AI models: extracted schedules, traced takeoff quantities, price estimates, suggested RFI text, parsed reports. These outputs are DECISION AIDS, not professional advice, and they can be wrong. You are responsible for reviewing and verifying any AI-generated quantity, price, or document before relying on it in a bid, contract, purchase, or submission to a third party. Scoprix is designed for human confirmation — use it that way. Scoprix does not provide engineering, architectural, surveying, legal, accounting, or other licensed professional services, and no professional-client relationship is created by your use of the service. Where a licensed professional's judgment is required, do not rely on Scoprix output as a substitute for it. 3. Plans, billing, and renewal. - Paid plans (Solo, Pro per-seat, Business, Enterprise) are billed through Stripe, monthly or annually, at the prices shown on the pricing page at the time you subscribe. - SUBSCRIPTIONS RENEW AUTOMATICALLY at the end of each billing period until you cancel. You can cancel any time from Settings → Billing (the Stripe billing portal); cancellation stops future renewals and your plan runs through the end of the period already paid. We do not refund partial billing periods. - Free trials require no card. If you add a card and do not cancel before the trial ends, the plan you selected begins billing. - Extraction top-off packs are one-time purchases and do not expire. - Beta / complimentary access codes grant time-boxed access and expire automatically; they carry no renewal and no charge. - Prices may change; we will give at least 30 days' notice before a change affects an existing subscription. - Taxes are added where applicable. - When you subscribe you are shown, and affirmatively agree to, the recurring price, the billing frequency (monthly or annual), the automatic-renewal terms, and how to cancel — before you are charged. - Payments are processed by our third-party provider, Stripe. Your use of Stripe's checkout and billing is also governed by Stripe's own terms and privacy policy. - Failed payments. If a renewal charge fails, Stripe may retry it over several days. If payment is not resolved after those attempts, we may suspend paid features until billing is brought current; unresolved balances may lead to cancellation. - Chargebacks. If you believe a charge is wrong, contact us at admin@scoprix.ai first — we resolve billing issues quickly. Filing a chargeback on a legitimately-owed charge, or on service already provided, may result in suspension of your account. 4. Accounts. You are responsible for keeping your password safe and for activity that happens under your account. If you suspect a credential has leaked, email us immediately at admin@scoprix.ai. 5. Acceptable use. Don't use Scoprix to: harass another user, attempt to access another organization's data, scrape the platform at scale, reverse-engineer security mechanisms, or upload content that violates third-party rights (NDAs, copyrighted documents you don't have a license to share, etc.). 6. Vendor / Subcontractor accounts. When you claim a rolodex entry on a General Contractor's account, you assert that you are an authorized representative of the company you're claiming. Knowingly false claims are a violation of these terms and may be reported to the affected GC. 7. Your uploads. When you upload a document — a vendor's quote, a plan set, an ERP report, or an email you forward to your Scoprix inbox address — you warrant that you have the right to do so under your business relationships and applicable agreements. You retain ownership of your project data; we receive only the rights necessary to operate the service for you. 8. Aggregated pricing data. Scoprix aggregates anonymized line-item pricing across the platform to power its market-rate features. By using Scoprix you grant us the right to include your data in these aggregates with the safeguards described in our Privacy policy (minimum bucket size, time lag, no individual-identifying data surfaced to other organizations). You may opt out — see the Privacy policy. 9. Anti-coordination. Scoprix is a buyer-side procurement tool. You agree not to use the platform — or data obtained from it — to coordinate pricing with competitors. We may suspend accounts that we reasonably believe are doing so. 10. Termination. You may delete your account at any time by emailing admin@scoprix.ai. We may suspend or terminate accounts that violate these terms. After cancellation or termination, paid features stop, but you have a window of at least 30 days to request an export of your data before it is deleted (see the Privacy policy for retention specifics). Sections that by their nature should survive — including AI/no-reliance (2), the data-aggregation grant (8), disclaimers and liability limits (11), indemnity, and governing law — survive termination. 11. Disclaimer and liability. The service is provided "as is" and "as available", without warranties of merchantability, fitness for a particular purpose, or non-infringement. We are not liable for indirect, incidental, special, or consequential damages — including lost profits, lost bids, or costs arising from quantities or prices you did not verify (see section 2). We are not responsible for third-party data surfaced through the service — including vendor quotes, public pricing or bid feeds, and other content we did not author — or for content you or your team upload. Where liability cannot be excluded, our total liability is capped at the fees you have paid Scoprix in the 12 months before the claim. Indemnity. You agree to defend and indemnify Scoprix against third-party claims arising from your uploads, your use of the service in violation of these terms, or your breach of a business agreement or law (for example, uploading documents you lacked the right to share, or coordinating pricing in violation of section 9). 12. Governing law. These terms are governed by the laws of the State of California. Disputes will be resolved in the state and federal courts of San Diego County, California. 13. Changes. We will give prominent notice — an email to account owners and an in-app notice — before a material change to these terms takes effect, and we will update the "last updated" date above. Your continued use of the service after the effective date constitutes acceptance of the updated terms. 14. Intellectual property and feedback. Scoprix, its software, and its branding are our property. You retain ownership of your project data and of the outputs generated for you (estimates, takeoffs, RFIs); we receive only the license necessary to operate the service for you and to improve it under the safeguards in the Privacy policy. If you send us feedback or suggestions, we may use them to improve Scoprix without obligation to you. 15. Enterprise agreements. If your organization has signed a separate written Enterprise or master agreement with Scoprix, that agreement governs where it conflicts with these terms. 16. Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control — including outages of an upstream provider (our hosting, database, payment, or AI providers), network failures, or acts of God. 17. Entire agreement; severability; assignment. These terms (with the Privacy policy and any order form or Enterprise agreement) are the entire agreement between you and Scoprix regarding the service. If a provision is held unenforceable, the rest remains in effect. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
